Terms of Service

1. Who We Are

Veridue is a compliance reminder and documentation platform operated by Noble Nobilis LTD, a company registered in England and Wales.

Payments are processed by Paddle.com Market Limited (“Paddle”), which acts as Merchant of Record for all subscription purchases. By purchasing a subscription you also agree to Paddle's Terms of Service.

2. The Service

Veridue provides a software-as-a-service platform that enables businesses, accountants, CPAs, and bookkeepers to:

• Track business entity compliance obligations across all 50 US states
• Schedule and send automated compliance deadline reminder sequences
• Generate Proof Packs — timestamped, audit-ready compliance documentation
• Import and manage client entity data
• Access AI-powered entity extraction and compliance tools

Important: Veridue is not a filing service. We do not file annual reports, franchise tax returns, or any other documents with state agencies on your behalf. Filing is completed by you or your service provider via official state portals. State filing fees are not included in any Veridue subscription.

3. Accounts and Eligibility

To use Veridue you must:

• Be at least 18 years old
• Be acting on behalf of yourself or a legitimate business entity
• Provide accurate account information and keep it up to date
• Maintain the security of your password and not share login credentials

You are responsible for all activity that occurs under your account. If you suspect unauthorised access, notify us immediately at support@veridueops.com.

4. Subscription Plans and Billing

4.1 Plans

Veridue offers the following subscription tiers. Current pricing is always shown at veridueops.com/pricing.

4.2 Billing

Paid subscriptions are billed in advance on an annual or monthly basis depending on the plan selected. Billing is handled exclusively by Paddle. Your card or payment method will be charged automatically at the start of each billing period.

4.3 Free Plan

The Free plan is available indefinitely at no charge and covers 1 entity. No credit card is required to start.

4.4 Price Changes

We may change subscription prices with at least 30 days’ written notice by email. Price changes take effect at the start of your next billing period after the notice period.

5. Refunds and Cancellation

5.1 30-Day Money-Back Guarantee

If you are not satisfied with a paid subscription, you may request a full refund within 30 days of your initial purchase date. To request a refund, email support@veridueops.com with your account email and order reference. Refunds are processed by Paddle and typically appear within 5–10 business days.

The 30-day guarantee applies to first-time purchases only. Renewals are not eligible for refund after the billing date.

5.2 Cancellation

You may cancel your subscription at any time from your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date. No partial refunds are issued for unused days in a billing period (except under the 30-day guarantee above).

5.3 Downgrade to Free

Upon cancellation your account automatically downgrades to the Free plan. Your data is retained for 90 days; entities above the Free plan limit become read-only.

6. Acceptable Use

You agree not to:

• Use Veridue for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to any part of the platform or its infrastructure
• Reverse engineer, decompile, or create derivative works from the platform
• Upload malicious code, viruses, or any software intended to damage or disrupt
• Use the platform to send spam, unsolicited messages, or harass any person
• Resell or sublicense access to the platform without our written consent
• Misrepresent your identity or affiliation
• Use automated scraping tools against the platform

We reserve the right to suspend or terminate accounts that violate this section without notice.

7. Your Data

You retain ownership of all data you upload to Veridue (“Customer Data”). You grant us a limited licence to process Customer Data solely to provide the service to you.

We handle personal data in accordance with our Privacy Policy. For UK/EU users, we act as a data processor on your behalf for Customer Data and as a data controller for account and billing data.

We do not sell your data to third parties. We do not use your Customer Data for our own marketing.

8. Intellectual Property

All software, algorithms, designs, and content comprising the Veridue platform are the exclusive property of Noble Nobilis LTD or its licensors. Nothing in these Terms transfers any intellectual property rights to you.

Feedback, suggestions, or ideas you provide about the service may be used by us without restriction or compensation.

9. Availability and Warranties

We aim for high availability but do not guarantee that Veridue will be error-free or uninterrupted. We may take the platform offline for maintenance; we will endeavour to provide advance notice where possible.

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT COMPLIANCE DEADLINES OR STATE REQUIREMENTS DISPLAYED IN THE PLATFORM ARE COMPLETE OR ERROR-FREE. YOU ARE RESPONSIBLE FOR VERIFYING ALL COMPLIANCE OBLIGATIONS WITH OFFICIAL GOVERNMENT SOURCES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOBLE NOBILIS LTD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR £100, WHICHEVER IS GREATER.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law under the laws of England and Wales.

11. Indemnification

You agree to indemnify, defend, and hold harmless Noble Nobilis LTD, its officers, employees, and agents from any claims, damages, losses, or costs (including reasonable legal fees) arising from your violation of these Terms or your use of the platform in breach of applicable law.

12. Termination

Either party may terminate the agreement at any time. We may terminate or suspend your access immediately if you breach these Terms, fail to pay subscription fees, or if we are required to do so by law.

Upon termination, your right to use the platform ends immediately. We will retain your data for 90 days following termination, after which it may be permanently deleted. You may request an export of your data within this window by contacting support.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from these Terms or your use of Veridue will be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection laws in your country of residence provide otherwise.
